STANDARD TERMS AND CONDITIONS OF SALE

Definitions

In these Terms and Conditions:

  • "Customer" refers to the individual or entity purchasing Goods.
  • "Goods" denotes the items supplied to the Customer by Hotpoint Appliances (Rwanda) Ltd. (referred to as "HARL").
  • "Intellectual Property Rights" encompass all patents, both registered and unregistered designs, copyrights, trademarks, know-how, and all other intellectual property forms enforceable globally.

These terms apply to all sales channels.

Website Content

HARL's website displays Goods with images, descriptions, model numbers, features, prices, and warranty periods. While HARL strives for accuracy, slight variations may occur due to screen brightness and other factors.

Price and Payment

  • The price is either HARL's quoted price or the listed price as of the order acceptance date unless otherwise agreed. Quotes are valid for 30 days.
  • Prices may vary before order acceptance and are typically quoted in Rwandan Francs unless agreed otherwise.
  • HARL may reject orders at its discretion.
  • Prices include VAT and other applicable taxes or costs unless specified otherwise. They do not include special packaging, branding, insurance, or incidental costs.
  • Credit terms may be offered at HARL's discretion and can be amended based on business performance.
  • Payment is due within the agreed terms from the invoice/statement date without any discounts or setoffs. HARL may offset any amount owed to the Customer.
  • Overdue payments may incur interest at 2% per month and could result in advance payment requirements or delivery refusal.

Description

Descriptions of Goods are for identification only and do not constitute a sale by description. The Customer acknowledges that they do not rely on descriptions when entering the contract.

Sample

Samples shown to Customers are representative, and bulk orders may differ slightly due to the manufacturing process.

Stock-out

If requested Goods are out of stock, Customers may choose alternatives or wait for restocking. HARL is not liable for stock-outs.

Delivery

  • Delivery occurs at the Customer-specified address as close as possible to the required date. The Customer must arrange to receive the Goods.
  • If delivery is hindered by the Customer's actions, HARL may store the Goods at the Customer's expense.
  • Delivery periods are not final deadlines, and HARL is not liable for exceeding them.
  • Any damages, shortages, or issues must be reported within 48 hours of receipt.
  • Collection of orders requires proof of identity. Authorizing someone else for collection requires proof of consent and identification.
  • Additional delivery charges may apply based on location.

Risk and Title

  • Risk passes to the Customer upon delivery. For self-collection, risk passes when Goods are set aside or entrusted to the Customer.
  • Title remains with HARL until full payment is received. The Customer holds the Goods as a bailee until all payments are settled. The right to possession ceases if payments are not made on time.

Return of Unused Goods

  • Goods are sold on a firm sale basis. Returns are only accepted if agreed upon by HARL.
  • Approved returns may result in a refund or credit. Returns must be undamaged, and the Customer bears return costs.
  • HARL does not accept damaged goods, health-related products, or goods held for over six months.

Customer Obligations

The Customer agrees to:

  • Pay for the Goods within the specified credit terms.
  • Comply with these Terms promptly.
  • Read and understand the user manual before using the Goods.

Warranties

The Customer warrants that:

  • They have the legal authority to enter into and perform obligations under this Agreement.
  • They will comply with all legal and regulatory requirements.
  • All provided information is true and accurate. HARL ensures website security but does not guarantee it will be entirely secure.

Limitation of Liability

HARL's liability is limited to the contract price and excludes any indirect or consequential loss.

Intellectual Property Rights

All Intellectual Property Rights arising from this Agreement become HARL's property, and the Customer must ensure these rights vest in HARL.

Promotions

Promotions are subject to specific terms and have validity periods. Claims must be made within these periods.

Product Warranty

  • Goods are warranted against manufacturing defects.
  • HARL offers a 24-month warranty on LG and Bosch products and a 12-month warranty on other brands, with possible extended warranties on specific parts.
  • These warranties also apply to Authorized Hotpoint Dealers.

Third-Party Links

HARL is not responsible for transactions or activities on third-party sites linked from its website.

Force Majeure

HARL is not liable for delays or failures due to events beyond its control, including but not limited to natural disasters, strikes, accidents, and internet failures. HARL may terminate the contract if delays persist.

Governing Law and Jurisdiction

This Agreement is governed by Rwandan law, and the parties submit to the exclusive jurisdiction of Rwandan courts.

General

  • These Terms do not establish any partnership or joint venture.
  • Variations to these Terms require written agreement from HARL.
  • If any provision is held invalid, the remaining provisions remain effective.
  • The Customer cannot assign the contract without HARL's written consent. HARL may assign obligations with notice to the Customer.
  • Failure to enforce any term does not waive the right to enforce it later.
  • Both parties must comply with relevant data protection laws and HARL’s Privacy Policy.
